| Valuation Management Consultants, Inc. (VMC), was formed in 1996 as a full service valuation management consulting firm to assist the consulting, appraisal and litigation support needs of its clients. It is an outgrowth of and a d.b.a. of The Evanich Group Ltd., an Illinois Corporation, with its office in the Chicago principals have significant valuation experience with major national consulting firms, corporations, financial institutions and owners and advisors of investment grade real estate. Their major roles in the organization consist of the coordination and development of valuation assignments, quality assurance and client communication.

| VMC provides professional, confidential management consulting, appraisal and litigation support services in the traditional valuation areas critical to today's corporate executives and advisors: real estate, financial property, and machinery & equipment. By overseeing and coordinating these valuations, the principals of VMC will provide quality, cost effective, timely, and seamless appraisal reports and expert testimony.

| The principals of VMC are personally involved in the initial stages of an engagement to ensure that the client and VMC have a good understanding of the scope of a valuation assignment. They are involved in all facets of the appraisal process including, where necessary, a personal inspection of the property or properties under analysis. With a full-time staff of two, the company currently engages four state certified general appraisers who have worked with our company for at least five years. Consequently, the company is an efficient sized organization that can produce high quality valuations ranging from single assignments to larger portfolio valuations, on an efficient, timely and cost-effective basis.

| Providing Seamless Valuation Services: | |||||
| Through our professional associations, VMC can provide seamless valuation reports, and the experts to back up the numbers, on valuation issues that encompass one or more of our valuation practice areas. In the case of appraisal assignments that involve financial property or M&E valuations, our associates are engaged as subcontractors to VMC for the completion of the assignment. Professional Service Agreements arranged with these firms guarantee that the fees charged our clients for completing valuation assignments will be some of the most cost efficient in the industry.
All appraisal assignments are managed, reviewed and signed by a principal of VMC. The principals coordinate valuation activity to assure the goals and objectives of the client are met. Each practice area reports activity to a company principal to ensure uniformity of reports, consistency of practice, and to search for possible conflict checks.

| Professional Standards: The company's MAI and affiliated member appraisal professionals conform to standards set by The Uniform Standards of Professional Appraisal Practice (USPAP) of the Appraisal Foundation and of their respective professional organizations.

| Analytical Software Expertise: As a company, VMC has adopted Pro-Ject lease-by-lease analysis to aid in the valuation of income producing real estate. Our Real Estate Services personnel are also proficient in the use of a number of other lease-by-lease analysis software including Dynalease, Argus, Office2 and Center. Our affiliates have adopted the use of appropriate analytical software programs for their purposes.
